How a company sale is structured can have a significant
impact on value and must be considered for control level valuations. This
Webinar will discuss the differences between a sale of assets and an equity sale
and the pros and cons of each type of transaction. Multiple approaches to
identify the likely transaction type will be discussed, and examples of how to
assess which form of transaction has the highest economic benefit to the seller
will be covered. Further, how to model key benefits of each transaction type
will be discussed, including the impact of NOLs and amortizing acquired
intangible assets. Relevant financial reporting-related guidance will also be
discussed.
